Mattel to acquire software giant the Learning Co.

NEW YORK Mattel Inc. will buy the Learning Co. Inc., a giantcomputer software manufacturer, for $3.8 billion even as the world'sbiggest toymaker warned its earnings will be lower than expected.

With the deal, Mattel is acquiring the second-largest consumersoftware company after Microsoft and gaining such well-known softwaretitles as Carmen Sandiego, National Geographic, American Greetings,The Print Shop, Riven and Myst. The purchase is the latest exampleof Mattel's efforts to build its business beyond traditional Barbiedolls and Hot Wheels cars as children look for more high-techproducts during playtime.
